Validate the business model

Assess expected revenue, margins, staffing, ownership, address, invoicing needs and customer profile. A clinic, SaaS business, online store and consultancy can have different obligations even when described as service businesses.

  • Main and secondary activities.
  • Legal form, ownership and capital.
  • Applicable initial tax scenarios.
  • Registrations, licences and operational requirements.

Keep classifications distinct

MEI is a treatment with its own eligibility conditions, not a substitute for analysing the legal structure. A limited company can have one or more owners. The appropriate form depends on the actual activity and ownership arrangements.

Plan the routine after registration

The applicable registration authority, CNPJ and licensing are related but distinct stages. After registration, identify invoicing, digital certificates, access, bank arrangements and the information calendar.

The proposal should distinguish formation work, any technical study and the recurring accounting that will begin afterwards. Unresolved requirements and responsibilities must remain visible.
